Terms of Service and Use Agreement

Important- Read Carefully

By Using the e-Forms System or Procedure, or Software, or Services you Agree to be Bound by These Terms and Conditions.

A. ACCEPTANCE OF TERMS AND CONDITIONS

By using the California Assessor Electronic Forms Filing Service (herein referred to as “e-Forms”), and e-Forms Services, you (“you” and “your” refer throughout this Terms and Conditions to the company or individual who files data electronically with the County Assessors within the State of California) agree to be bound by, and comply with, this Terms and Conditions and any other rules or guidelines that the e-Forms Network Group (e-Forms/NG) may implement for the orderly and standard conduct of the System and Network. The e-Forms/NG reserves the right to update this Terms and Conditions at any time without notice to you. You may request updates to this Terms and Conditions by writing or contacting the e-Forms/NG.

B. CONDITIONS AND RESTRICTIONS ON USE

If you fail to comply with the Terms and Conditions, the e-Form/NG may terminate your access for any reason or no reason at all in its sole discretion, with or without prior notice.

C. INTELLECTUAL PROPERTY OWNERSHIP, COPYRIGHT PROTECTION

The e-Forms Software and any authorized copies that you make are the intellectual property of and are owned by the California counties whose assessors comprise the e-Form/NG. The Software is protected by law, including without limitation the copyright laws of the United States and other countries, and by international treaty provisions. Except as expressly stated herein, this Terms and Conditions does not grant you any intellectual property rights in the Software and all rights not expressly granted are reserved by the e-Form/NG, its member assessors, participating parties, or their respective counties. Any e-Forms software that is made available to download from the Services (“e-Forms”) is the copyrighted work of the California counties and participating parties who comprise the e-Forms/NG.

COPYING OR REPRODUCING THE e-Forms SOFTWARE TO ANY OTHER LOCATION FOR FURTHER REPRODUCTION OR REDISTRIBUTION OR ITS USE FOR ALL UNAUTHORIZED CIRCUMSTANCES IS EXPRESSLY PROHIBITED, UNLESS SUCH USE IS EXPRESSLY PERMITTED IN WRITING UNDER THIS AGREEMENT. VIOLATORS WILL BE PROSECUTED TO THE MAXIMUM EXTENT OF THE LAW.

D. NO UNLAWFUL OR PROHIBITED USE

As a condition of your use of the Services, you will not use the Services, hardware, or software, for any purpose that is unlawful or prohibited by these terms and conditions and State and Federal laws as applicable, You may not use the Services in any manner that could damage, disable, overburden, or impair any e-Forms/NG server, or the network(s) connected to any e-Forms/NG server, or interfere with any other party’s use and enjoyment of any Services. You may not attempt to gain unauthorized access to and Services, other accounts, computer systems or networks connected to any e-Forms/NG server or to any of the Services, through hacking, password mining, or any other means. You may not obtain or attempt to obtain any materials or information through any means not intentionally made available through the e-Forms Services.

E. USE OF SERVICES

The Services is for use in filing data with California County Assessors. The products, services, software, and information obtained from the Services may not be sold, transferred, licensed, reproduced, displayed, published, distributes, copied, performed, or modified by you.

Without limiting the foregoing, copying, or reproduction of the software to any other server or location for further reproduction or redistribution is expressly prohibited. Violators will be prosecuted to the maximum extent possible.

F. LINKS TO THIRD PARTY SITES

The links in this area will let you leave the e-Forms/NG site. The linked sites are not under the control of the e-Forms/NG, its member assessors, and/or their respective counties. The e-Forms/NG, its member assessors, and/or their respective counties are not responsible for the contents of any linked site or any link contained in a linked site, or any changes or updates to such sites. The e-Forms/NG is providing these links to you only as a convenience, and the inclusion of any link does not imply endorsement by the e-Forms/NG, its member assessors, nor their respective counties of the site

G. EXPORT RESTRICTIONS

You acknowledge that the Services or portion thereof may be subjected to the export control laws of the United States. You will not export, re-export, divert, transfer, or disclose any portion of the Services or any related technical information or materials, directly or indirectly, in violation of any applicable export law or regulation.

H. NO WARRANTIES

You understand and agree that the services are provided “as is” and e-Forms/NG, its member assessors, and their respective counties expressly disclaim all warranties of any kind, express or implied, including without limitation any warranty of merchantability, fitness for a particular purpose or non-infringement. e-Forms/NG, its member assessors, and their respective counties make no warranty or representation regarding the results that may be obtained from the use of the Services, regarding any transactions entered into through the Services or that the services will meet any user’s requirements, or be uninterrupted, timely, secure, or error free. Use of the Services is at your sole risk, any material and/or data download or otherwise obtained through the use of the Services is at your own discretion and risk. You will be solely responsible for any damage to you resulting from the use of the Services. The entire risk arising out of use or performance of the Services remains with you

I. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, in no event will the e-Forms/NG, its member Assessors, their respective counties, nor those counties’ affiliates, officers, directors, employees or consultants be liable for any special, incidental, indirect, exemplary, or consequential damages whatsoever (including, without limitation, damages for loss of business profits, business interruption, loss of business information, or any other pecuniary loss or damage) arising out of the use of or inability to use the Services or the provision of or failure to provide technical or support services, whether arising in tort (including negligence) contact or any other legal theory, even if the e-Forms/NG, its member assessors, their respective counties, or those counties’ affiliates, officers, directors, employees and consultants have been advised of the possibility of such damages. While reserving all rights and defenses that are available to them under law, the e-Forms/NG, its affiliates’, officers’, directors’. Employees’, or consultants’ maximum cumulative liability and your exclusive remedy for any claims arising out of or related to this agreement will be limited to the amount actually paid by you for the Services (if any) in the previous 12 months

J. INDEMNITY AND RELEASE

You agree to indemnify, defend and hold harmless the e-Forms/NG, its member assessors, the respective counties, and those counties affiliates, officers, directors, employees and consultants from any and all third party claims, liability, damages and/or costs (including, but not limited to, attorneys fees) arising from your use of the Services. Furthermore, by using the Services, you agree to release the e-Forms/NG, its member assessors, their respective counties, and those counties’ affiliates, officers, directors, employees, and consultants from any and all claims, demands, debts, obligations, damages, costs, and expenses of any kind or nature whatsoever. Whether know or unknown, suspected or unsuspected, disclosed or undisclosed, that you may have against them arising out of or in any way related to your use of the Services.

By using the Services, you further agree to indemnify and defend the e-Forms/NG, its member assessors, their respective counties, and those counties’ affiliates, officers, directors, employees, and consultants and hold them harmless from and against any and all claims and expenses, including attorneys’ fees, arising from your use of the Services or from any person’s use, regardless of where such use is authorized by you.

K. CHOICE OF LAW AND FORUM

Terms and Conditions shall be governed by the constructed under the laws of the State of California. By entering into this terms and Conditions you consent to the exclusive jurisdiction and venue of the courts located in and serving Ventura County, California.

L. WAIVER AND SEVERABILITY

Failure by either party to exercise any of its rights under or to enforce any provision of, this Terms and Conditions will not be deemed a waiver or forfeiture of such rights or ability to enforce such provision. If any provision of this Agreement is held by a court competent jurisdiction to be illegal, invalid, or unenforceable, that provision will be amended to achieve as nearly as possible the same economic effect of the original provision and the remainder of this Terms and Conditions will remain in the full force and effect.

M. NOTICE SPECIFIC TO DOCUMENTS AVAILABLE ON THIS WEB SITE

Permission to use Documents (such as white papers, notices, and FAQs) from the Services is granted, provided that (1) the copyright notice of Paragraph Q of this Terms and Conditions and this permission notice of Paragraph M of this Terms and Conditions appear in all copies, (2) use of such Documents from the Services is for information and non-commercial or personal use only and will not be copied or posted on any network computer or broadcast in any media, and (3) no modification of any Documents are made. Accredited education institutions, such as K-12, universities, colleges, and state community colleges, may download and reproduce the Documents for distribution in the classroom. Distribution outside the classroom requires express written permission. Use for any other purpose is expressly prohibited by law, and may result in severe civil and criminal penalties. Violators will be prosecuted to the maximum extent possible.

N. DISCLOSURE OF INFORMATION

The e-Forms/NG, its member assessors, and their respective counties reserve the right at all times to disclose any information as the e-Forms/NG, its member assessors, or their respective counties deem necessary to satisfy any applicable law, regulation, legal process, or governmental request, or to edit, refuse to post or to remove any information or materials, in whole or in part, in the e-Forms/NG’s, its member assessors’, or their respective counties’ sole discretion.

O. ENTIRE AGREEMENT

This Terms and Conditions embodies the entire understanding and agreement between the parties respecting the subject matter of this Terms and Conditions and supersedes any and all prior understandings and agreements between the parties respecting such subject matter. The e-Forms/NG may change the terms of this Terms and Conditions agreement at any time. This Terms and Conditions have been prepared in English Language and such version shall be controlling in all respects and any non-English version of this Terms and Conditions is solely for accommodation purposes.

If any part of this Terms and Conditions is found void and unenforceable, it will not affect the validity of the balance of this Terms and Conditions, which shall remain valid and enforceable according to its terms. This Terms and Conditions may only be modified by a writing signed by an authorized officer of the e-Forms/NG. This Terms and Conditions is the entire agreement between you and the e-Forms/NG, its member assessors, or their respective counties, or those counties’ affiliates relating to the e-Forms/NG and it supersedes any prior representations, discussions, undertakings, communications, or advertising relating to the e-Forms/NG.

P. LEGAL NOTICE

All notices or other correspondence to the e-Forms/NG under this Terms and Conditions must be sent to the e-Forms/NG contact provided on the site. Any and all rights and remedies of the e-Forms/NG, its member assessors, or their respective counties upon your breach or other default under this Terms and Conditions will be deemed cumulative and not exclusive of any other right or remedy conferred by this Terms and Conditions or by law or equity on the e-Forms/NG, its member assessors, or their respective counties and the exercise of any one remedy will not preclude the exercise of any other.

The captions and headings appearing in this Agreement are for reference only and will not be considered in construing this Terms and Conditions.
